Terms of Service

The terms that govern access to and use of Meridiaan.

This English text is a courtesy translation. The Italian version at meridiaan.io/it/terms-of-service is the authoritative reference; in case of any discrepancy, the Italian version prevails.

Who provides the service

Meridiaan is the service these Terms refer to, and it is operated from Italy. It is not a company and does not operate under its own VAT number.

For any communication about these Terms, write to support@meridiaan.io.

Scope

Meridiaan is a knowledge base as a service exposed as an MCP server: it lets you create Workspaces, add Documents, and connect clients that speak the MCP protocol.

These Terms govern access to and use of the meridiaan.io website and the service of the same name. By using the service you confirm that you have read and accepted these Terms and the Privacy Policy.

Account

To use the service you must create an account with a valid email address. One account corresponds to one person: the account, the user, and the email address are the same.

Accurate data: the information you provide at registration must be correct and kept up to date.

Credentials: you are responsible for keeping your credentials safe and for all activity carried out through your account. Tell us at support@meridiaan.io if you suspect unauthorised access.

Capacity: you must be at least 18 years old and able to enter into a binding contract.

Plans, prices, and payments

Meridiaan offers a free plan (Free) and paid plans (Solo, Studio and Team) priced per seat: you buy one seat for each person who writes, while people who only read take no seat. Plan and seats belong to the organization, not to a single person. Prices, limits, and features of each plan are shown on the Pricing page and may be updated for future billing periods.

Merchant of Record: sales and payments for the paid plans are handled by Paddle.com MarketPlace Limited as the merchant of record. The purchase contract for the subscription is concluded with Paddle, which issues the tax documentation and handles applicable VAT.

Paddle terms: purchases are also subject to Paddle's Checkout Buyer Terms (paddle.com/legal/checkout-buyer-terms).

Taxes: prices include or are increased by applicable taxes as determined by Paddle at checkout, based on the buyer's country.

Billing: paid subscriptions are billed in advance on a monthly basis; each subscription belongs to an organization and is managed by whoever administers it.

Payment data: card and billing details are collected and processed by Paddle; Meridiaan never sees them. The details are in the Privacy Policy.

Renewal and cancellation

Paid subscriptions renew automatically at the end of each billing period, at the same price unless a change is communicated in advance.

Whoever administers the organization can cancel at any time from the billing portal reachable from the organization page, or by writing to support@meridiaan.io. Cancellation takes effect at the end of the period already paid for: the plan stays active until that date, after which the organization returns to the Free plan with its limits.

Failed payment and return to the Free plan

If the payment for a renewal does not go through, the organization moves to the Free plan straight away, with no grace period. The same happens when a cancelled subscription reaches its end.

What changes: the limits of the Free plan apply. Only one Workspace stays writable, the one changed most recently; the others stay readable but read-only. People other than whoever administers the organization stay in the member list but lose access until the plan is back.

What does not change: no content is deleted, and whoever administers the organization can still read everything and export every Workspace.

How to get back: when the payment goes through, including on one of Paddle's automatic retries, the organization returns to the paid plan and everything resumes as before.

Usage limits and fair use

The free plan includes a monthly cap on requests to the MCP server per organization, shown on the Pricing page. Paid plans have no preset cap: use is unrestricted within the bounds of fair use and is not a guarantee of dedicated capacity. Sustained use that is disproportionate to typical use may be subject to review.

You may not resell or make the service available to third parties outside the collaboration roles provided, nor circumvent plan limits by technical means.

Acceptable use

When using Meridiaan you agree not to:

Break the law: carry out unlawful activities or activities that infringe the rights of others, including intellectual property and privacy rights.

Upload unlawful content: put material into Workspaces that you have no right to process or that is prohibited by law.

Compromise the service: attempt to gain unauthorised access to systems or data, bypass security measures, introduce malicious code, or generate abnormal automated load.

You are responsible for the content that you and your collaborators upload to Workspaces you own.

User content

You keep ownership of the content you upload to Workspaces. You grant us the limited, non-exclusive licence needed to run the service: to store, process, back up, and expose that content through the MCP server to the users you authorise.

You can export or delete your content at any time. When your account is deleted, your Workspaces and the organizations you administer alone are deleted straight away; what you wrote in other people's Workspaces stays with them, with an unknown author. The details are in the Privacy Policy.

Intellectual property

The software, the "Meridiaan" name and mark, the website, the interface, and the documentation remain the property of Meridiaan. These Terms grant you no rights over the service beyond using it according to your active plan.

Service availability

The service is provided "as is" and "as available". We do not guarantee that it will be uninterrupted or error-free. We may carry out maintenance, including unplanned maintenance, and change or suspend individual features as the product evolves; the status of each component is published on the Status page.

Suspension and termination

We may suspend or close an account in the event of a breach of these Terms, use that puts the service or other users at risk, or where required by a legal obligation. Where reasonable we give notice and a chance to fix the issue.

You can delete your account at any time from your User page, and an organization you administer from its own page. Deletion is immediate and irreversible; before that you can export your Workspaces. If an organization has a subscription that renews, it must first be moved to the Free plan: the period already paid for is not refunded because of the deletion, and refunds are governed by the Refunds page.

Refunds

The refund conditions for paid subscriptions are described on the Refunds page, which forms an integral part of these Terms.

Limitation of liability

To the extent permitted by law, we are not liable for indirect damages, loss of data, lost profits, or business interruption arising from the use of, or inability to use, the service. Our total liability to you on any basis is limited to the amount you paid for the service in the 12 months before the event.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including cases of wilful misconduct or gross negligence and the non-waivable rights of consumers.

Consumer rights

If you use Meridiaan as a consumer, that is for purposes outside your trade or profession, the non-waivable rights granted to you by Italian and European law remain unaffected and prevail over any conflicting clause in these Terms.

Changes to these Terms

We may update these Terms to reflect changes in the service or in applicable law. In the event of material changes we will notify you by email or with a prominent notice in the product, with reasonable advance notice. Using the service after the changes take effect counts as acceptance; if you do not accept them you can cancel the subscription and close the account.

Governing law and jurisdiction

These Terms are governed by Italian law.

If you are a consumer, disputes fall under the jurisdiction of the court of the place where you reside or have chosen your domicile; you may also use the European online dispute resolution platform (ec.europa.eu/consumers/odr). If you are not a consumer, disputes fall under the exclusive jurisdiction of the court of the place from which Meridiaan is operated.
